Job Description

ROLE PROFILE

Reporting to the AFC Commercial Bank Board Chairman and Managing Director, the Company Secretary will be responsible for ensuring that AFC Commercial Bank complies with all statutory requirements and providing oversight on corporate governance matters. These include lodging of all statutory returns with the Registrar of Companies, holding of Board meetings, annual and extraordinary general meetings, preparation of minutes thereof, preparation and distribution of the Annual Report, and ensuring compliance with the Company’s Memorandum and Articles of Association.

Duties and Responsibilities

  • Draft an annual calendar for the Board and Board Committee meetings in liaison with the Managing Director and Board Chairperson.
  • Draft and review legal documents and maintain a register of all current and expired contracts.
  • Maintain the Bank’s, Board and Management Committee documents, statutory books and register of Board Members.
  • Give legal advice to the Bank on any legal issues and hand over matters For litigation to the Bank’s external lawyers.
  • Cross check with relevant acts and legislation to ensure the Bank is compliant on certain issues.
  • Provide legal opinion in respect of matters affecting the Bank.
  • Craft the Bank’s legal policy, Board Charter and Code of Ethics for review by the relevant Committees and subsequent approval by the Board.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action including providing legal counsel to Management and the Board of Directors.

  • Strong leadership, critical thinking skills and business acumen.

Qualifications and Experience

  • A Bachelor of Laws Degree.
  • Holder of a Master’s in Business Administration (MBA) /MBL or relevant Master of Science (MSc).
  • At least 10 years in a corporate legal environment preferably in the financial services sector.
  • A member of the Law Society of Zimbabwe.
